If for almost any reason, a Dispute proceeds in courtroom as opposed to arbitration, the Dispute shall be commenced or prosecuted during the condition and federal courts situated in Colorado, and the Parties hereby consent to, and waive all defenses of absence of non-public jurisdiction, and forum non conveniens with regard to venue and jurisd
